Plain-English summary
Yappa is a managed AI voice-agent service for Australian SMBs. By using Yappa — visiting the site, requesting a demo, signing up for an account, or running calls — you agree to the terms below. Paid clients sign a separate MSA + DPA that takes priority over this page.
1. Who can use Yappa
Yappa is offered to Australian businesses (and businesses that operate in Australia). You must:
- Be at least 18 years old and authorised to bind the entity you're contracting on behalf of;
- Provide accurate registration information (business name, ABN/ACN, contact details);
- Not use Yappa if you've been previously suspended or terminated by us for cause.
2. The service
Yappa operates an AI voice-agent platform across 14 published service categories (reception, lead qualification, warm transfer, debt collection reminders, retention check-ins etc — see the landing site). Operationally we provide:
- The dialler, conversational AI model, voice and recording infrastructure (via our sub-processors);
- Per-client script tuning at the cadence stated in the client's tier (monthly to weekly);
- A dashboard with calls, transcripts, outcomes, and per-call cost;
- A fail-closed compliance gate covering AU DNC, calling hours, consent, and AI disclosure on every call.
The agent identifies as an AI on the first line of every call. This is non-negotiable; clients cannot override it.
3. Subscription, billing, refunds
- Plans: Starter (A$550/mo · 300 conversations), Small (A$1,500/mo · 1,000), Medium (A$3,000/mo · 2,600), Large (A$5,000/mo · 4,450). Custom and usage-based plans available on request.
- Billing cycle: month-to-month after an initial 60-day commit. Charged in advance on each renewal.
- Overage: conversations beyond the tier cap are billed at the published per-conversation rate for the next tier up, or quoted on enquiry for Large / Custom.
- Cancellation: after the initial 60-day commit, cancel any time via email to hello@yappa.com.au. Service continues until the end of the current billing period; no further charges.
- Refunds: we don't refund partial periods except where required by Australian Consumer Law.
- Price changes: notified 30 days before taking effect; you can cancel within that window without early-termination consequences.
4. Your obligations as a client
You agree to follow the Customer Responsibility & Acceptable Use Policy in full. In summary:
- You are responsible for the lawful basis to contact each lead you upload — consent under the Spam Act, the Privacy Act, and the Do Not Call Register Act.
- You are responsible for the accuracy of lead data you upload.
- You will not use Yappa for prohibited categories listed in §5 of the AUP (scams, MLM, regulated finance without licence, etc).
- You will not attempt to bypass the compliance gate, the AI-identification line, or the audit log.
5. Yappa's obligations
- Operate the platform with commercial best-effort, hitting the SLA stated in the client's tier (e.g., sub-5h critical response on Large).
- Apply the compliance gates described in the AUP §3 to every call.
- Encrypt PII at rest, retain recordings for the client's configured window, and provide export on request.
- Notify clients within 72 hours of becoming aware of a personal-information breach affecting their data.
6. Intellectual property
- Yappa's IP: all software, designs, models, prompts, dashboards, and documentation remain the property of Lead Bridge Group Pty Ltd (trading as Yappa). You receive a non-exclusive, non-transferable, revocable licence to use them for the term of your subscription.
- Your data: you retain ownership of all lead data you upload and all call artefacts generated for your workspace. Yappa holds a limited licence to process and store the data solely to deliver the service.
- Aggregated insights: Yappa may use de-identified, aggregated metrics across all clients to improve the platform (e.g., "median Q1 transfer rate by industry"). Never lead-level, never identifiable to a client.
7. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these terms. Survives termination for three years.
8. Service availability
Yappa targets 99.5% monthly uptime measured at api.yappa.com.au. Scheduled maintenance is announced at least 48 hours in advance and counts against the SLA only if it exceeds two hours / month. Force majeure (carrier outages, AI-vendor downtime, AWS region failure) excluded.
9. Suspension + termination
Yappa may suspend a workspace immediately on:
- Non-payment beyond 14 days past due;
- A compliance-gate pattern suggesting upload of unlawfully sourced leads;
- A regulator complaint against the workspace;
- Material breach of the AUP §5 prohibited-use list;
- Lawful request from law enforcement.
For cause, suspension may convert to termination. For non-cause, either party may terminate after the initial 60 days with 30 days' notice. Data export is available for 60 days post-termination.
10. Indemnification
You indemnify Yappa and its officers, employees, and contractors against any claim, fine, penalty, or liability arising from:
- The unlawfulness of any lead you upload (including breaches of the DNC Register, Spam Act, or Privacy Act attributable to the source of the lead);
- Misrepresentations made in your sales claims passed through to the lead via the agent script;
- Use of Yappa in violation of these terms.
Yappa indemnifies you against third-party IP claims that Yappa's platform itself infringes — capped at the fees you paid in the 12 months preceding the claim.
11. Limitation of liability
To the maximum extent permitted by law, Yappa's total liability for any claim is capped at the fees paid by the client in the 12 months preceding the claim. Yappa is not liable for indirect, consequential, special, or exemplary damages — including lost profits or lost data — except for gross negligence or wilful misconduct.
Nothing in these terms excludes liability we cannot exclude under the Australian Consumer Law.
12. Governing law + jurisdiction
These terms are governed by the laws of Victoria, Australia. Each party submits to the exclusive jurisdiction of the courts of Victoria.
13. Changes to these terms
We may update these terms from time to time. Material changes are notified to clients by email at least 30 days before they take effect. Continued use of Yappa after the effective date constitutes acceptance.
